Explanation of responses
- F1In connection with the spin-off of Horizon Global Corporation ("Horizon") by the Reporting Person, pursuant to Section 4.2 of the Separation and Distribution Agreement, dated June 30, 2015, between the Reporting Person and Horizon (the "Agreement"), the Reporting Person effected the Distribution (as defined in the Agreement) on June 30, 2015, and caused to be distributed to each holder of record of the Reporting Person's common stock as of June 25, 2015, the record date for the Distribution, by means of a pro rata dividend, two shares of Horizon common stock for every five shares of the Reporting Person's common stock held of record by such holder as of the record date.
