- F1The Reporting Persons are members of a "group" with respect to certain securities of The Madison Square Garden Company ("MSG") for purposes of Section 13(d) of the Securities Exchange Act of 1934. As such, the Reporting Persons may be deemed to beneficially own Issuer shares held directly by MSG and its subsidiaries. The Reporting Persons disclaim beneficial ownership of the shares of the Issuer held by MSG and its subsidiaries, except to the extent of any pecuniary interest therein, and this report shall not be deemed an admission that the Reporting Persons are the beneficial owner of such securities for purposes of Section 16 or for any other purpose.
Remarks
The Reporting Persons are members of a Section 13(d) Group with respect to securities of The Madison Square Garden Company. This Form 3 is being filed in connection with the Securities and Exchange Commission's declaration of effectiveness of the Registration Statement on Form 10 of MSG Spinco which describes the planned distribution by MSG to its stockholders of all of the common stock of MSG Spinco.
