Explanation of responses
- F1Grant of Performance Shares, which are earned based on a combination of the Company's performance as measured by EBITDA (75% of the Performance Shares) and New Business (25% of the Performance Shares). The performance period is the two year period beginning May 1, 2016 and ending on April 28, 2018. Unearned Performance Shares will be forfeited. Once earned, the Performance Shares are subject to an additional one year holding period before they fully vest.
