Explanation of responses
- F1These unvested restricted stock units (payable solely in common stock of the Issuer on the vesting date) were granted to replace 2,500 unvested restricted stock units of Barnes & Noble, Inc. ("Barnes & Noble") in connection with the Reporting Person's termination of employment with Barnes & Noble and becoming Vice President, Investor Relations and Treasurer of the Issuer. This grant shall vest on July 2, 2016, in accordance with the remaining vesting schedule of the original grant of Barnes & Noble restricted stock units.
