Explanation of responses
- F1AAP Sponsor (PTC) Corp ("AAP") is the direct beneficial owner of these securities. Through a trust relationship with AAP, Lepe Partners LLP ("Lepe") and Mr. Goodwin had a pecuniary interest in an aggregate of 786,518 ordinary shares of the issuer. On April 7, 2016, certain indirect owners (including Lepe) having a pecuniary interest in the shares held by AAP agreed to reallocate certain shares amongst themselves, for no additional consideration. Mr. Goodwin is the Chief Executive Officer of Lepe. Mr. Goodwin disclaims any pecuniary interest he may have in the shares held by AAP aside from that arising from his ownership interest in AAP directly or through Lepe.
