On July 3, 2017, the Issuer declared a stock dividend, payable on the closing date of the Issuer's initial public offering to all holders of Common Stock on July 3, 2017, of 0.235 shares of Common Stock for each share of Common Stock outstanding. The payment of the stock dividend is contingent on the completion of the Issuer's initial public offering.
