Explanation of responses
- F1Each restricted stock unit ("RSU") represents a contingent right to receive one share of the issuer's Common Stock upon settlement for no consideration. The RSUs will vest as to 2/16ths of the award on June 5, 2019, and then 1/16th of the RSUs will vest on each of September 5, December 5, March 5 and June 5 thereafter until the RSUs are fully vested, subject to the Reporting Person's provision of services to the issuer on each vesting date. Shares of the issuer's Common Stock will be delivered to the Reporting Person following vesting.
