Explanation of responses
- F1The transaction reported on this Form relates to the separation of the Issuer from the Reporting Person effective July 1, 2015 (the "Separation"). To effect the Separation, the issued and outstanding common stock of the Issuer, consisting of 100 shares of common stock prior to the Separation, was recapitalized into 180,966,833 shares of the Issuer's common stock. Shares of the Issuer's common stock were distributed, by means of a pro rata dividend, to the holders of the Reporting Person's common stock. The Reporting Person did not receive any shares of Issuer in the Separation.
