Explanation of responses
- F1Pursuant to the terms of Article II of the Distribution Agreement (the "Agreement"), dated September 8, 2015, between Capital Southwest Corporation ("CSWC") and CSW Industrials, Inc. (the "Company"), CSWC will effect the Share Distribution (as defined in the Agreement) on September 30, 2015. CSWC will cause all of the shares of common stock of the Company to be distributed to CSWC's stockholders by means of a pro rata distribution of one share of common stock of the Company for every one share of common stock of CSWC held of record by such holder as of September 18, 2015, the record date.
