Explanation of responses
- F1Reporting Person will acquire the shares as a result of the spin-off of Issuer from Capital Southwest Corporation ("CSWC") that will be completed on September 30, 2015 (the "Spin-Off"). The record date for the Spin-Off was September 18, 2015. The Reporting Person will receive one share of common stock of the Issuer for every one share of CSWC common stock that the Reporting Person owned as of the record date.
