Explanation of responses
- F1The reporting securities are owned directly by K Laser International Co., Ltd., which is a wholly-owned subsidiary of K Laser Technology Inc. ("K Laser"). K Laser has the sole voting and dispositive power over the reporting securities. Mr. Kuo, as the Chairman and a majority stockholder of K Laser, holds the power to vote and dispose shares held by K Laser International Co., Ltd. and K Laser and may be deemed to beneficially own the reporting securities. Mr. Kuo disclaims beneficial ownership of the reporting securities except to the extent of his pecuniary interest therein.
- F2The reporting securities are owned directly by Guang International Ltd., which is a wholly-owned subsidiary of Everest Display Inc. ("EDI"). EDI has the sole voting and dispositive power over the reporting securities. K Laser beneficially owns 76% of EDI's capital and may be deemed to beneficially own the shares held by EDI. Mr. Kuo, as the Chairman and a majority stockholder of K Laser, holds the power to vote and dispose shares held by EDI and may be deemed to beneficially own the shares held by EDI. Mr. Kuo and K Laser disclaim beneficial ownership of the reporting securities except to the extent of their respective pecuniary interest therein.
