Explanation of responses

F1Reporting Persons will acquire the shares as a result of the spin-off of Issuer from NexPoint Credit Strategies Fund ("NHF"), to be completed on March 31, 2015 (the "Spin-Off"). The record date for the Spin-Off was March 23, 2015. For every three shares of NHF that the Reporting Person owned as of the record date, the Reporting Person will receive one share of the Issuer.
F2These shares are held by Highland Capital Management, L.P. ("HCMLP") directly and through a dividend reinvestment plan. Mr. Dondero is the President and the director of Strand Advisors, Inc., HCMLP's general partner, and may be deemed to be an indirect beneficial owner of shares held by HCMLP. Mr. Dondero disclaims beneficial ownership of such shares except to the extent of his pecuniary interest therein.
F3These shares are directly held by PCMG Trading Partners XXIII, L.P. ("PCMG"). Mr. Dondero is the President of Strand Advisors III Inc., PCMG's general partner, and may be deemed to be an indirect beneficial owner of shares held by PCMG. Mr. Dondero disclaims such beneficial ownership of such shares except to the extent of his pecuniary interest therein.
F4These shares are directly held by Highland CDO Holding Company ("HCDO"). HCMLP is the investment adviser of HCDO.
