Explanation of responses
- F1This filing amends the reporting person's Form 4 filed on May 20, 2015 (the "Original Filing"), which originally reported the acquisition of an aggregate of 6,900 Restricted Share Units ("RSUs") as the acquisition of options with a specified vesting schedule. The Original Filing is hereby amended to report such acquisition as an acquisition of RSUs and to revise the vesting dates.
- F2Each RSU is convertible into one ordinary share of the Issuer upon vesting.
- F3RSUs shall vest and become convertible with respect to 500 shares on each of 6/30/15, 9/30/15, 12/31/15, 3/31/16, 6/30/16, 9/30/16, 12/31/16, 3/31/17, 6/30/17, 9/30/17, 12/31/17 and 3/31/18, in each case subject to payment of the nominal value per share to Issuer within 30 days of vesting.
