Explanation of responses
- F1The reporting person has transferred 98,846 shares to investors in the issuer's first and second bridge offerings prior to the issuer's initial public offering on May 19, 2015, pursuant to an agreement by the issuer's founders to transfer shares of the issuer's common stock owned by the founders to the bridge investors in a quantity sufficient for the bridge investors to be "made whole" for the difference between (i) the value of the bridge investors' shares at the public offering price of $8.00 per share and (ii) the value of their shares at $10.00 per share.
