Explanation of responses
- F1These Deferred Stock Units ("DSUs") of Urban Edge Properties (the "Company") were issued under the Urban Edge Properties 2015 Omnibus Share Plan. The DSUs entitle the reporting person to an equivalent number of shares of Common Stock of the Company without the payment of any consideration.
- F2These DSUs vest on May 8, 2019 (subject to the reporting person continuing to serve on the Company's Board of Trustees until such date), but the Common Stock underlying the DSUs is not deliverable until the earlier of (i) January 1, 2020 or (ii) the first business day of the year immeidately following the year the reporting person ceases to serve as a member of the Company's Board of Trustees, and will be delivered in five equal annual installments.
