- F1Sit Fixed Income Advisors II, LLC ("SFI") is a subsidiary of Sit Investment Associates, Inc. ("SIA"). The securities held by SIA and SFI may be deemed to be beneficially owned by Roger J. Sit. Roger J. Sit is Chairman, President, Chief Executive Officer, and Global Chief Investment Officer of SIA, and Chairman and Chief Executive Officer of SFI. Roger J. Sit and members of his family are predominate owners, directly or through trusts, of SIA and SFI representing more than 50% of the voting power of each entity. Each SIA and SFI and Roger J. Sit disclaim beneficial ownership of the reported securities except to the extent of their pecuniary interest therein, and affirmatively disclaim being a "group" for purposes of Section 16 of the Securities Exchange Act of 1934, as amended.
