Explanation of responses
- F1The phantom units expire upon settlement. The phantom units are settled upon vesting in common units (on a one-for-one basis) or, at the discretion of the Issuer, in cash.
- F2The phantom units were acquired from the Issuer through dividend equivalent rights that accrued on outstanding phantom units and are subject to the same terms as the phantom units to which they relate.
- F33,815 phantom units vested on February 17, 2017. The remaining (i) 1,924 phantom units vest on January 20, 2018, (ii) 6,249 phantom units vest on February 17, 2018, (iii) 6,250 phantom units vest on February 17, 2019 and (iv) 2,433 phantom units vest on February 17, 2020.
Remarks
The Reporting Person is Chief Operating Officer of CONE Midstream GP LLC, the general partner of the Issuer (the "General Partner"). The Issuer is managed by the directors and executive officers of the General Partner.
