- F1Stockbridge/SBE Voteco Company, LLC ("Voteco") holds 100% of the Stockbridge/SBE Investment Company, LLC'S (the "Company") Class A Membership Interests. Mr. Fancher is the sole member of Voteco and is the natural person who has sole voting and dispositive power with respect to the Class A Membership Interests. Mr. Fancher may be deemed to have beneficial ownership of the Class A Membership Interests held by Voteco; however, Mr. Fancher disclaims beneficial ownership of the Class A Membership Interests.
