Explanation of responses
- F1Each restricted stock unit ("RSU") represents a contingent right to receive one share of Limbach Holdings, Inc. (the "Company") common stock, exempt under Rule 16b-3.
- F2The reporting person initially filed a Form 4 on September 1, 2017 (the "Initial Form 4") reporting the award of 25,000 RSUs granted on 08/30/2017. Fifty percent (50%) of this RSU award was granted subject to service-based vesting conditions and vests in equal installments on each of August 30, 2017, August 1, 2018 and August 1, 2019, subject to continued employment through the applicable vesting date. The remaining fifty percent (50%) of the award is subject to performance-based vesting conditions disclosed in the Initial Form 4. The Initial Form 4 inadvertently omitted 2,858 shares of common stock from Table I, which is related to the portion of the RSUs that vested on August 30, 2017, net of shares forfeited for withholding. This Form 4 correctly includes those 2,858 shares in Box 5 to Table I of this filing, in addition to the vesting of the RSUs disclosed in Line 1 to Table I.
