Explanation of responses
- F1Pursuant to an employment agreement dated January 1, 2026, the Reporting Person was granted 80,000 restricted stock units. Such 80,000 restricted stock units will vest in two equal installments of 40,000 restricted stock units on June 15 and December 15 over a one-year period. The first installment vested on June 15, 2026, of which 15,010 shares were withheld by the Issuer to satisfy the applicable tax withholding obligation and 24,990 shares of common stock were issued to the Reporting Person.
