("Common Stock") were sold in multiple transactions at prices ranging (i) from $8.16 to $8.34 per share, inclusive, for transactions on June 23, 2017, and (ii) from $8.15 to $8.36 per share, inclusive, for transactions on June 26, 2017. Park West Asset Management LLC (the "Reporting Person") undertakes to provide to Nexeo Solutions, Inc., any security holder of Nexeo Solutions, Inc., or the staff of the Securities and Exchange Commission, upon request, full information regarding the number of shares purchased at each separate price within the ranges set forth herein.
- F2The Reporting Person is the investment manager to Park West Investors Master Fund, Limited, a Cayman Islands exempted company ("PWIMF"), and Park West Partners International, Limited, a Cayman Islands exempted company ("PWPI").
