Explanation of responses
- F1Upon the vesting of 1,566 shares on August 14, 2015 under a restricted stock award made to the reporting person by the Issuer on June 27, 2014, the reporting person had 429 shares withheld by the Issuer for personal tax liability withholding. The June 27, 2014 stock award was made in connection with the spin-off of the Issuer from Rayonier Inc. on such date and pursuant to the terms of an Employee Matters Agreement between Rayonier Inc. and the Issuer. The stock award has the same terms and conditions as the restricted stock award made by Rayonier Inc. to the reporting person on January 1, 2014.
