Explanation of responses
- F1On March 23, 2015, at the Compensation and Management Development Committee's direction, Mr. Boynton's retention award agreement (the "Agreement"), dated May 28, 2014, was amended to convert the guaranteed value RSU award described in the Agreement, and originally reported in a Form 4 filed on June 30, 2014, to a cash award. The award, as amended, will vest and become payable solely in cash, at the same value as the original award, on August 31, 2018, subject to Mr. Boynton's continued employment with the Company and possible earlier vesting upon events specified in the Agreement.
