- F1On January 8, 2017, the Issuer entered into an Asset Purchase Agreement with the Reporting Person, Halcyon Consulting, LLC ('Halcyon"), and members of Halcyon signatory thereto, as amended by that certain Assignment, dated February 8, 2017, between the Issuer and NextGen Pro, LLC (the "NextGen Acquisition"). On February 8, 2017, in connection with the NextGen Acquisition, the Reporting Person received 1,523,809 shares of Class B Common Stock of the Issuer .
