Such restricted stock units were acquired by the reporting person on August 14, 2014 pursuant to to anti-dilution provisions set forth in the Issuer's long term incentive plan in connection with the previously announced pro-rata distribution of 100% of the outstanding ordinary shares of the Issuer to the shareholders of Noble Corporation plc.
