Explanation of responses
- F1Effective November 27, 2018, the Issuer completed a merger pursuant to which any and all shares of the Issuer's outstanding common stock (other than certain shares as described in the Issuer's 8-K dated November 27, 2018) were automatically converted into the right to receive (i) $12.50 per share in cash, before deduction of applicable withholding taxes and without interest, plus (ii) one non-transferable contingent value right per share, which represents the contractual right to receive $0.50 per share in cash before deduction of applicable withholding taxes and without interest, subject to the conditions set forth in a Contingent Value Rights Agreement.
- F2The Common Shares are held in the account of Broadfin Healthcare Master Fund, Ltd., a private investment fund managed by Broadfin Capital, LLC and may be deemed to be beneficially owned by Kevin Kotler, managing member of Broadfin Capital, LLC. Each of Broadfin Capital, LLC, Broadfin Healthcare Master Fund, Ltd. and Kevin Kotler (collectively, the "Reporting Persons") disclaim beneficial ownership of the reported securities except to the extent of his or its pecuniary interest therein, and affirmatively disclaim being a "group" for purposes of Section 16 of the Securities Exchange Act of 1934, as amended.
