- F1Restricted stock units convert into common stock on a one-for-one basis.
- F2On August 4, 2014 restricted stock units originally granted by Tribune Media Company were converted into restricted stock units of the Issuer in connection with the Spin-off. Each restricted stock unit represents the equivalent of one share of the Issuer's common stock. The remaining restricted stock units will vest in substantially equal installments on each of March 1, 2016 and 2017, subject to the Reporting Person's continued service and subject to acceleration upon certain events.
