Explanation of responses
- F1Restricted stock units convert into common stock on a one-for-one basis.
- F2Represents shares withheld for payment of taxes on vesting of restricted stock units, not an open market transaction.
- F3On August 4, 2014 restricted stock units originally granted by Tribune Media Company were converted into restricted stock units of the Issuer in connection with the Spin-off. Each restricted stock unit represents the equivalent of one share of the Issuer's common stock. The remaining restricted stock units will vest in substantially equal installments on each of March 1, 2016 and 2017, subject to the Reporting Person's continued service and subject to acceleration upon certain events.
- F4On August 29, 2014, the Reporting Person was granted restricted stock units, vesting in four equal installments beginning on March 1, 2015. The remaining restricted stock units will vest in substantially equal installments on each of March 1, 2016, 2017 and 2018, subject to the Reporting Person's continued service and subject to acceleration upon certain events.
