Advent Partners GPE VI 2008 Limited Partnership ("Advent Partners 2008") holds a partnership interest in Advent Party City and the Reporting Person is a limited partner of Advent Partners 2008. The shares reported herein and directly owned by Advent Party City may be deemed indirectly owned by the Reporting Person; however, the Reporting Person disclaims beneficial ownership of these securities except to the extent of his respective pecuniary interest therein, if any, and the inclusion of these shares herein shall not be deemed an admission of beneficial ownership of all of the reported shares for purpose of Section 16 or any other purpose.
