Explanation of responses
- F1Shares held by OCV Management, LLC ("OCV") and were issued pursuant to a services agreement executed December 14, 2017. OCV receives an annual fee of $250,000, payable annually in arrears and settled in the form of ordinary shares issued. For 2018, the number of shares issued was determined by dividing $250,000 by the closing price on January 2, 2018. Reporting Person serves as Chairman of OCV. Reporting Person disclaims beneficial ownership of these securities except to the extent of his pecuniary interest therein, and the inclusion of these shares in this report shall not be deemed an admission of beneficial ownership of all of the reported shares for purposes of Section 16 or for any other purpose.
- F2The Reporting Person, directly and/or indirectly, possesses the sole power to vote and the sole power to direct the disposition of all securities of Issuer held by Orchard Alternative Investments LP, a Delaware limited partnership, ("Orchard Alternative") and Orchard Investments LLC, a Delaware limited liability company ("Orchard Investments").
