(the "Issuer") by the reporting person was matchable under Section 16(b) of the Securities Exchange Act of 1934, as amended (the "Exchange Act") to the extent of 1,000 shares. The reporting person purchased 1,000 shares of common stock of the Issuer on September 9, 2014 at a price of $16.22 per share. The reporting person paid $4,930 to the Issuer, representing the full amount of the profit realized in connection with the short-swing transaction.
