Explanation of responses
- F1Each performance stock unit ("PRSU") represents a contingent right to receive one share of the Issuer's common stock and will vest on March 17, 2018 (the "Vesting Date"), if and only if (i) as to 50% of the PRSUs, the Issuer's earnings per share ("EPS") for the year ended December 31, 2017 equaled or exceeded a certain EPS target, and (ii) as to 50% of the PRSUs, shares of the Issuer's common stock meets a certain volume weighted average price per share for a certain measurement period ending prior to the Vesting Date, in each case subject to adjustments by the Issuer's compensation committee.
