Explanation of responses
- F1Ruperto Serra, may convert, at his election, the principal of the Convertible Promissory Note into 141,932 shares of Common Stock plus such number of shares of Common Stock in respect of accrued but unpaid interest at the rate of 1% per annum, at a conversion price of $0.025 per share of Common Stock, upon the earlier of (i) 6 months from the issuance date of the Note, being February 4, 2015; or (ii) the date on which the Issuer receives a ticker symbol from FINRA, which has not yet been issued.
