- F1The reporting person holds an 85.7% interest in, and is Manager of, Dmedia LLC, the General Partner of Dmedia Holding LP. As such, the reporting person is deemed to be the beneficial owner of 11,187,138 shares held by Dmedia Holding LP by virtue of his voting and dispositive power of those shares. Through his ownership interest in Dmedia LLC, which owns an approximately 6% direct interest in Dmedia Holding LP, the reporting person also has a pecuniary interest in 588,005 shares held by Dmedia Holding LP. The reporting person disclaims beneficial ownership of the remaining 10,599,133 shares held by Dmedia Holding LP.
