Explanation of responses
- F1As contemplated by a letter agreement, dated September 21, 2014, between the registrant and Hennessy Capital Partners I LLC ("HCPI"), HCPI exchanged 9,434,538 warrants of the registrant for 943,453 shares of the registrant's common stock.
- F2These securities are held directly by HCPI. Daniel J. Hennessy is the sole managing member of Hennessy Capital LLC, the managing member of HCPI. Mr. Hennessy may be deemed the beneficial owner of the securities held by HCPI and has sole voting and dispositive control over such securities. Mr. Hennessy disclaims beneficial ownership over any securities owned by HCPI in which he does not have a pecuniary interest.
