Explanation of responses
- F1In connection with Mr. Seeb's resignation as a member of the Company's Board of Directors, he forfeited 500,000 shares of the Company's Common Stock, issued to Denver Relief Consulting LLC ("DRC") on July 26, 2017 (as reported on Mr. Seeb's Form 4 filed July 28, 2017). In return, the Company has issued a Warrant to DRC, on behalf of Mr. Seeb, for the purchase of up to 1,500,000 shares of the Company's Common Stock at $0.20 per share.
- F2Mr. Seeb's wholly owned company, Sababa Corporation, owns 1/3 of DRC's equity.
- F3Mr. Seeb owns 1/3 of E-3 Events, LLC's equity.
