DWM Properties LLC ("DWM"), an entity wholly-owned by the Reporting Person, acquired 2,152,853 shares of Common Stock in exchange for satisfaction of an outstanding note held by DWM and other receivables owed to DWM and the Reporting Person. The shares were issued pursuant to the Exchange Agreement, dated August 24, 2026, by and among the Issuer and DWM.
