- F1The 394,858 shares of MassRoots Inc.'s (the "Company's") common stock were issued upon a cashless exercise of 443,214 shares pursuant to a Stock Option Agreement, dated June 4, 2014, relating to options to purchase up to 750,000 shares of the Company's common stock at $0.10 per share (the "Option Agreement"). The Option Agreement was issued pursuant to the Company's 2014 Stock Incentive Plan.
