Pursuant to the terms of the Offer, the purchase price of the shares will be equal to net asset value of the shares as of June 30, 2018, which will be determined by the issuer within 30 days of the transaction date, unless the existence of changes in tax or other laws or regulations or unusual market conditions result in a delay.
