Explanation of responses
- F1Restricted share units under the Amended and Restated Employee and Director Incentive Restricted Share Plan (the "Plan") of Hospitality Investors Trust, Inc. (the "Company"). Each restricted share unit represents a contingent right to receive one share of common stock of the Company. The restricted share units vest in equal annual installments on each of the first four anniversaries of February 14, 2019. Vested units may only be settled in shares of common stock and such settlement generally will be on the earliest of (i) in the calendar year in which the third anniversary of each applicable vesting date occurs, (ii) termination of the reporting person and (iii) a change in control event.
- F2Represents the surrender of shares to the Company to satisfy the reporting person's tax withholding obligation upon the vesting of shares of restricted share units under the Plan previously granted to the reporting person.
