Explanation of responses
- F1On November 7, 2018, the reporting person and the other two executive officers (Jonathan P. Mehlman and Edward T. Hoganson) of Hospitality Investors Trust, Inc. (the "Company") each forfeited 3,600 of the restricted share units (10,800 restricted share units total) awarded to them on February 14, 2018 under the Company's Amended and Restated Employee and Director Incentive Restricted Share Plan.
- F2The forfeited restricted share units would have vested in equal annual installments on each of the first four anniversaries of February 14, 2018 (i.e. 900 restricted share units on each vesting date for the reporting person and each of the other two executive officers). Simultaneously with these forfeitures, the compensation committee of the Company's Board of Directors authorized the grant of a total of 10,800 new restricted share unit awards to various non-executive employees of the Company with the same vesting terms as the restricted share units forfeited by the reporting person and the other two executive officers.
