Each share of Series B Convertible Preferred Stock is convertible into 2,000 shares of the Issuer's common stock. The shares of Series B Convertible Preferred Stock are convertible at any time, at the holder's election, or upon certain mandatory conversion events set forth in the Certificate of Designations of Preferences, Rights and Limitations of Series B Preferred Stock of the Issuer. The Series B Convertible Preferred Stock has no expiration date.
