- F2These Shares are held for the account of Logen Asset Management Master Fund Ltd. (the "Logen Fund").
- F3Logen Asset Management LP ("Logen LP") serves as investment manager to each of the Logen Fund and the Managed Account. Logen Asset Management GP LLC ("Logen GP") is the general partner of Logen LP. Mr. Norman M. K. Louie is a managing partner and the Chief Investment Officer of Logen LP and a member of Logen GP. Mr. Steven K. Gendal is a managing partner of Logen LP and a member of Logen GP. Each of Logen LP, Logen GP, Mr. Louie and Mr. Gendal disclaims beneficial ownership of the Shares reported herein except to the extent of its or his pecuniary interest therein, and the inclusion of such Shares in this report shall not be deemed an admission of beneficial ownership of all of the reported Shares for purposes of Section 16 of the Securities Exchange Act of 1934, as amended, or for any other purpose.
