Explanation of responses
- F1Represents restricted stock units granted as director fees. The restricted stock units vest on the earlier of (i) the one year anniversary of the grant date or (ii) the date of the Company's next annual shareholders meeting, in each case subject to Dr. Riggs' continued service on the Company's board of directors. Pursuant to Dr. Riggs' election, once vested, the settlement of these stock units will be deferred until the earlier of Dr. Riggs' termination of board service and a change in control of the Issuer.
- F2These shares of common stock are held by the Riggs II Family Limited Partnership, the general partner of which is Riggs Management, Inc. Dr. Riggs, as the President and controlling shareholder of Riggs Management, Inc., may be deemed to have beneficial ownership of the shares held by the Riggs II Family Limited Partnership.
