The shares which vested at the end of the performance period was based upon the Company's three-year total shareholder return ranking among the three-year return of the companies included in the MSCI US REIT Index.

- F3Includes (i) 436,701 shares owned by a residuary trust for the benefit of Peter D. Carlino and Peter D.
