Explanation of responses
- F1Restricted stock units ("RSUs") convert into common stock on a one-for-one basis.
- F2In connection with the vesting of shares of RSUs pursuant to the Frank's International N.V. 2013 Long-Term Incentive Plan, Frank's International N.V. (the "Issuer") withheld vested shares to satisfy tax withholding obligations. The number of vested shares withheld was based on the closing price per share on August 12, 2016. The withholding of vested shares pursuant to this award was approved by the Board of Supervisory Directors of the Issuer, and the number of shares indicated in this Form 4 was acquired as treasury stock by the Issuer.
- F3Mr. Latiolais may be deemed to beneficially own the shares of common stock, par value Euro 0.01 per share, of the Issuer (the "Common Stock") held by a child. Mr. Latiolais disclaims beneficial ownership of the Common Stock, except to the extent of his pecuniary interest therein.
- F4On August 14, 2013, the reporting person was granted 113,636 RSUs, vesting 20% per year on the anniversary of the grant over the first three years, with the remaining 40% vesting on March 31, 2017.
- F5Also consists of 10,908 RSUs that will vest 50% on February 23, 2017 and 50% on February 23, 2018 as well as 20,200 RSUs that will vest ratably in three annual installments beginning on February 23, 2017.
