Explanation of responses
- F1Restricted stock units ("RSUs") convert into common stock on a one-for-one basis as annual compensation to the non-employee members of the Board of Supervisory Directors.
- F2As a result of the Voting Agreement, dated July 22, 2013, by and among Ginsoma Family C.V., FWW B.V., Mosing Holdings, Inc. and the other parties thereto (the "Voting Agreement"), Steven B. Mosing may be deemed to share beneficial ownership of 119,024,000 shares (representing more than 10% of the outstanding shares) of Frank's International N.V's common stock, par value Euro 0.01 per share (the "Common Stock") held by FWW B.V. Mr. Mosing disclaims beneficial ownership of the Common Stock except to the extent of his pecuniary interest therein.
