Explanation of responses
- F1Upon recommendation of the issuer's independent compensation consultant, represents a one-time refresher grant of restricted stock units ("RSUs") that vests as to 33% of the RSUs on the first anniversary of the grant, with the remaining RSUs vesting in equal quarterly installments over the subsequent two years, subject to the reporting person's continued service to the issuer on each vesting date. Each RSU represents the contingent right to receive one share of the issuer's common stock.
