- F1The Reporting Person is the President and Manager of The Vertuca Group, LLC ("TVG") and has sole voting and dispositive power over such reported shares of common stock of the Issuer ("Common Stock"). TVG was the direct holder of such shares of Common Stock.
- F2MJR Ventures, LLC ("MJR") is the beneficial owner of such shares of Common Stock. The Reporting Person is a managing member of MJR and may therefore be deemed to beneficially own the securities of the Issuer held by MJR. The Reporting Person expressly disclaims beneficial ownership of such securities, except to the extent of the Reporting Person's pecuniary interest therein. The filing of this statement shall not be deemed to be an admission that, for purposes of Section 16 of the Securities Exchange Act of 1934 or otherwise, the Reporting Person is the beneficial owner of such securities beneficially owned by MJR.
