- F1Represents restricted stock units ("RSU") which vest upon the earlier of the one year anniversary of the grant date and the date of the board meeting at which the Issuer's financial results for the fourth quarter of the year in which the RSU were granted are presented for board review, subject to the Reporting Person's continued service with the Issuer through the applicable vesting date.
- F2Table I, Item 5 of Form 4 filed February 5, 2014 reported that each of the Reporting Person and his family trust held 53,750 shares following the reported transaction. The Reporting Person held 3,750 shares directly and the family trust held 50,000 shares indirectly. Table I, Item 5 of Form 4 filed March 26, 2014 reported that the Reporting Person held 55,041 shares (rather than 5,041 shares) following the reported transaction and inadvertently omitted the 50,000 shares held indirectly by the family trust.
